Execution and Continuing Education Status of the Corporate Governance Officer
Following the resolution passed by the Board of Directors on November 4, 2021, Ms. Shu-Ching (Stella) Wu was appointed as the Corporate Governance Officer. Ms. Wu possesses over three years of experience in financial and managerial roles at publicly listed companies, qualifying her for this position. She is responsible for overseeing and planning corporate governance activities.
Scope of Duties
- Provide the Board of Directors and the Audit Committee with the information and updates on the latest regulatory developments related to the company’s operations.
- Assist the Board of Directors and the Audit Committee in complying with relevant laws and regulations
- Submit regular reports on corporate governance practices to the Corporate Governance Committee and the Board of Directors.
- Organize and manage matters related to Board and Shareholders' meetings in compliance with legal requirements.
- Prepare minutes for Board and Shareholders' meetings.
- Assist directors and Audit Committee members with their onboarding and continuing education.
Business Execution
- Assisted independent and general directors in performing their duties by providing necessary information and arranging training sessions.
- .Informed Board members of the latest developments in laws and regulations relevant to the company’s business operations and corporate governance.
- Reviewed the confidentiality levels of information and provided directors with the required company data, ensuring smooth communication between directors and management.
- .Ensured the lawful and accurate disclosure of key Board resolutions post-meeting to protect the equality of information available to investors.
- Ensured that all Board members completed at least six credit hours of training.
- Convened six Board meetings and five Audit Committee meetings in 2024.
- Held one annual Shareholders’ Meeting in 2024.
- Renewed directors’ and key officers’ liability insurance, with the renewal reported to the Board in August 2024.
- Conducted the internal evaluation of the Board’s performance for 2024, achieving an excellent rating.

Continuing Education Requirements
- According to the "Guidelines for the Establishment and Exercise of Powers by Board of Directors of Listed Companies," newly appointed corporate governance officers must complete at least 18 hours of training within the first year of their appointment and a minimum of 12 hours annually thereafter.
- The corporate governance officer of BenQ Medical has continuously pursued training since taking office in 2021 to meet the required hours and fulfill other training-related obligations.
